Please read these Terms of Service ("Terms", "Terms of Service") carefully before using Starsheet ("we", "us", or "our") software and services (the "Service").
By accessing or using the Service, you ("User", "you", or "your") agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service.
The Service is provided on a subscription basis. Fees are payable in advance according to the pricing plan you select. We reserve the right to modify our pricing plans or withdraw tiers at any time, and will provide existing paying Users (“Customers”) with at least 60 day’s notice before the new pricing tiers take effect. Our free tier is offered at our sole discretion.

Our collection and use of personal data is governed by our Privacy Notice, which is available at https://starsheet.app/legal/privacy/ and incorporated into these Terms by reference.
You acknowledge that you have read and understood our Privacy Notice and agree to our collection, use, and disclosure of personal data as described therein.
We may change or discontinue features of the at any time at our sole discretion. We will endeavor to make changes in a backwards compatible manner and provide as much notice as is reasonably practicable for any backwards incompatible changes or discontinuation of features but will not be obligated to provide notice if the discontinuation or change is required as a result of change imposed by a 3rd party technical dependency (such as a Google or AWS deprecating an API or feature that Startsheet depends on) or necessary to (a) prevent harm to the Service, Starsheet or other Customers (b) respond to claims, litigation or loss of licence to third party intellectual property, or (c) comply with the law.
We may update these Terms from time to time. If we materially update any portion of these Terms, we will notify you using the email address linked to the Google Account used to sign into the Service, or other reasonable means (for example, by posting a notice on our website) before the date the update becomes effective. Your continued use of the Service after we publish or send a notice about changes to these Terms means that you are consenting to the updated terms.
You grant Startsheet a non-exclusive, worldwide license to copy, process and publish the contents of your files that you grant Starsheet access to only in connection with providing the Service. Starsheet will not retain copies of the files or use them for any purpose other than publishing data to the AWS account that you specify
You may terminate your paid subscription through our billing portal. Upon cancellation, you will retain access to the benefits of your current subscription tier until the end of your billing cycle.
We may terminate or suspend your access to the Service immediately upon notice for any breach of these Terms.
We may withdraw the Service entirely, or your access to the Service by providing not less than 30 days’ notice to customers with an active paid subscription, or without notice to Users on our free tier.
This Service is provided 'as is' and 'as available.' Starsheet makes no representations or warranties of any kind, express or implied, regarding the operation, reliability, or performance of the software. To the maximum extent permitted by applicable law, our total liability to you for any damages or losses arising from or in connection with these terms, the Service, or its use, regardless of the form of action (whether in contract, tort, breach of statutory duty, or otherwise), shall not exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim
We do not guarantee that the Service is free of defects or errors. While we strive to maintain high availability and performance, we do not guarantee any specific service levels or uptime.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
